Terms and Conditions
TrustSwap Launchpad S.A. de C.V. · Last Updated: 2 September 2026
1. These Terms
These Terms and Conditions ("Terms") govern your access to and use of the TrustSwap Launchpad platform at trustswaplaunchpad.com (the "Launchpad"), operated by TrustSwap Launchpad S.A. de C.V., incorporated in El Salvador ("TrustSwap Launchpad", "we", "us", "our").
By connecting a wallet to the Launchpad to stake, submitting a whitelist form, or otherwise using the Launchpad, you agree to these Terms. If you do not agree to them, do not use the Launchpad.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
2. What the Launchpad Is, and What It Is Not
The Launchpad is a platform through which third-party projects ("Projects") offer their tokens to eligible participants. We provide the interface, the eligibility process, and the allocation mechanism described in these Terms.
We are not a party to any token sale. Any purchase or contribution you make is a transaction between you and the Project. We do not sell tokens, we do not offer them, and we make no representation about them.
We are not a custodian. We never hold, receive, control, or have access to your funds or tokens at any point. Contributions are sent directly from your wallet to a wallet controlled by the Project. We cannot recover, reverse, freeze, or redirect any transfer.
We are not a broker, dealer, exchange, investment adviser, financial institution or payment service provider, and we do not act as agent for you or for any Project.
We do not deliver tokens. Token distribution and vesting are handled by the Project, in most cases through Team Finance and in some cases through a different provider chosen by the Project. We do not control those arrangements and are not responsible for their operation, timing, or failure.
What we do determine is the size of each eligible participant's allocation, under Sections 3 and 4. What we do not determine is what is sold, on what terms, at what price, whether it is delivered, what it is subsequently worth or which countries cannot participate.
3. Eligibility
You may only use the Launchpad, and may only participate in a token sale, if:
- you are at least 18 years old and have legal capacity to enter into these Terms;
- you have completed identity verification with our third-party provider, Sekuritance, and hold an approved verification status;
- you are not a resident of, located in, or a citizen of any jurisdiction excluded for the relevant sale under Section 3.1; and
- you meet the SWAP Score threshold in Section 4.
3.1 Excluded jurisdictions. Each Project determines which jurisdictions may participate in its own sale, based on where it is incorporated and the legal advice it has received. That list is shown for each sale and may differ between sales. We apply it as given and do not set it.
In addition, and regardless of any Project's list, you may not use the Launchpad if you are located in, resident in, or organised under the laws of any jurisdiction subject to comprehensive sanctions, or if you are named on, or owned or controlled by a person named on, any applicable sanctions list. This restriction is ours and applies to every sale.
3.2 Your representation. Each time you participate, you represent that you meet all eligibility requirements, that participation is lawful for you where you are, and that you are not acting on behalf of anyone who does not meet them.
3.3 No circumvention. You must not use a VPN, proxy, false information, or any other means to disguise your location or identity, or to appear eligible when you are not.
3.4 Participate on your own behalf. You must be the beneficial owner and controller of every wallet address you register, and you must not register a wallet, or contribute, for or on behalf of any other person, including anyone who is ineligible.
3.5 Consequences. We may void any whitelist registration or allocation obtained in breach of this Section, at any time, including after allocations have been published.
4. Whitelisting, SWAP Score and Allocation
4.1 Whitelisting. There are no user accounts on the Launchpad. To participate in a sale you submit a whitelist form for that sale, providing your email address and wallet staking address and receiving wallet address, and you complete this separately for each sale you wish to join.
4.2 SWAP Score. Your SWAP Score reflects the amount of SWAP you have staked and the duration for which it has been staked. Longer and larger stakes produce a higher SWAP Score. A minimum SWAP Score of 4,000 is required to participate.
4.3 How allocation is calculated. Once the whitelist for a sale closes, we sum the SWAP Scores of all whitelisted participants who are verified, eligible and approved for that sale. Your share of the hard cap is the same percentage as your SWAP Score is of that total.
4.4 Your allocation is not fixed or predictable in advance. Because your allocation depends on the total SWAP Score of everyone else who qualifies for the same sale, it cannot be calculated before the whitelist closes, and it may be substantially smaller than you expect if many participants qualify or if participants with large SWAP Scores join. Staking SWAP does not entitle you to any particular allocation, to any minimum amount, or to participation in any specific sale. Meeting the 4,000 threshold makes you eligible to be included in the calculation; it does not guarantee an allocation of any size.
4.5 Changes. We may change the SWAP Score methodology, the minimum threshold, and the allocation mechanism. Where we do so, the change will not apply to a sale for which the whitelist has already closed. We may correct errors in any calculation, including after allocations have been published.
5. Making a Contribution
5.1 Direct transfer. If an allocation is granted, you send your contribution directly from your wallet to the address designated by the Project. The transaction is between you and the Project.
5.2 Verify the address. You are solely responsible for verifying that you are sending funds to the correct address, on the correct network, in the correct asset, and in the correct amount. Blockchain transfers are irreversible. Funds sent to a wrong address, on a wrong network, or in a wrong asset may be permanently lost, and neither we nor the Project can recover them.
Token sales attract impersonation and fraud. We will never contact you to change a payment address, and we will never ask you for a seed phrase or private key. Treat any such message as fraudulent, and confirm addresses only through the Launchpad interface itself.
5.3 No fees to us. We do not charge participants any fee. The full amount you contribute is applied to your token purchase with the Project.
5.4 Refunds. Contributions are final and cannot be reversed by us. Some Projects offer their own refund terms. Where a Project does so, the conditions, eligibility and process are set by that Project and are communicated for that sale; any such term is an arrangement between you and that Project, not a commitment by us. Because we never hold your funds, we cannot issue, process or compel a refund, we do not assess or decide refund claims, and we are under no obligation to pursue one on your behalf. If a Project does not honour a refund term it has offered, your claim is against that Project.
5.5 Delivery, vesting and failure. Claiming of tokens, and any vesting or lock-up schedule, is the Project's responsibility. If a Project delays delivery, delivers fewer tokens than expected, changes the terms of its sale, abandons the project, becomes insolvent, or fails to deliver at all, your recourse is against that Project and not against us. We do not guarantee performance by any Project and have no power to compel it. .
6. Project Information and Your Own Due Diligence
Information about Projects shown on the Launchpad — descriptions, tokenomics, roadmaps, team details, audit references, timelines and links, originates with the Project. We do not verify it, adopt it, or warrant that it is accurate, complete or current.
Listing on the Launchpad is not an endorsement, recommendation, or assurance of quality, legitimacy, or prospects.
You are solely responsible for conducting your own due diligence before participating in any sale, including reviewing the Project's documentation, its smart contracts, its team, its legal status, and the tax and regulatory treatment of the token where you live. You should obtain independent professional advice where appropriate.
7. No Financial Advice
Nothing on the Launchpad, in our communications, or in any material we publish constitutes financial, investment, legal, tax or accounting advice, or a recommendation, solicitation or offer to buy or sell any token or other asset.
We do not assess whether any token is suitable or appropriate for you. We do not consider your financial position, objectives, experience or risk tolerance, and we do not act in your interest in relation to any sale. Any decision to participate is yours alone.
Tokens sold through the Launchpad may be treated as securities or other regulated instruments in some jurisdictions. Nothing in these Terms is a determination that any token is or is not a security anywhere. You are responsible for satisfying yourself that your participation is lawful where you are.
8. Risk Disclosure
Participating in token sales is high risk. You should be prepared to lose the entire amount you contribute. By using the Launchpad you confirm that you understand and accept the following, which is not an exhaustive list.
Total loss. Early-stage token projects fail frequently. The token you receive may become worthless, may never be listed on any venue, and may never be tradeable at all.
Volatility and illiquidity. Token prices are extremely volatile. There may be no market for your tokens, and no ability to sell at any price, particularly during a lock-up or vesting period.
Vesting and lock-ups. Tokens are typically vested and only released over time. You may be unable to access or transfer tokens for an extended period, during which the price may fall substantially. Always check the project’s vesting schedule before participating.
Project failure and misconduct. A Project may abandon development, misuse funds, misrepresent itself, or act fraudulently. We do not control Projects and cannot prevent this.
Irreversible transactions. Blockchain transfers cannot be undone. Errors in address, network or amount may result in permanent loss.
Smart contract and technical risk. Contracts used for sale, distribution or vesting may contain bugs or vulnerabilities, may be exploited, or may behave unexpectedly. This includes contracts operated by third parties.
Wallet security. Loss of your seed phrase or private key means permanent loss of your assets. We cannot restore access.
Regulatory risk. Laws affecting tokens are unsettled and change quickly. Future regulation may restrict your ability to hold, transfer or realise value from tokens, or may render your participation unlawful.
Network risk. Blockchain networks may congest, fork, halt or fail, delaying or preventing transactions.
Platform availability. The Launchpad may be unavailable at critical moments, including during a sale. Availability is not guaranteed, and you may miss an allocation as a result.
Tax. You are responsible for determining and paying any tax arising from your participation. We provide no tax advice and issue no tax documentation.
9. Acceptable Use
You must not use the Launchpad to breach any law, to launder money or finance terrorism, to evade sanctions, to defraud any person, or to participate where participation is unlawful for you.
You must not interfere with the Launchpad's operation, attempt to gain unauthorised access to it, scrape or copy it at scale, use bots or automated means to obtain an advantage in whitelisting or allocation, or manipulate the SWAP Score or allocation mechanism.
10. Suspension and Disqualification
We may, without notice and without liability to you, restrict or withdraw access to the Launchpad, refuse a whitelist registration, exclude you from a sale, or void an allocation, where we reasonably believe that you have breached these Terms, that you are ineligible, that your participation may be unlawful, that you have circumvented a restriction, or that action is necessary to comply with law or a request from a competent authority.
Where an allocation is voided before you have transferred funds, you simply do not participate. Where it is voided after transfer, we have no ability to return funds, since we never held them; any claim is against the Project you whitelisted for.
11. Intellectual Property
The Launchpad, its interface, content and branding are owned by us. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Launchpad for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from it. Project names, logos and materials belong to the respective Projects.
12. Third-Party Services
The Launchpad depends on and links to third-party services, including Sekuritance for identity verification, Team Finance and other vesting providers, wallet providers, and blockchain networks. These operate under their own terms and privacy policies, and we are not responsible for their availability, security, accuracy or conduct. Your use of them is at your own risk.
13. Disclaimers
The Launchpad is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties, express or implied, including as to merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, and freedom from error or malicious code.
We do not warrant that any Project is legitimate, solvent, or capable of delivering what it describes; that any token has or will have value; that any sale will complete; or that any distribution or vesting arrangement will function as described.
14. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, loss of tokens, loss of value, loss of opportunity, loss of data, or loss of goodwill, however caused.
We are not liable for: the acts or omissions of any Project; the value, delivery, vesting or performance of any token; funds sent to an incorrect address, network or asset; the conduct of any third-party service; blockchain network conditions; unauthorised access to your wallet; or unavailability of the Launchpad.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not permit certain exclusions, in which case the exclusions apply to the fullest extent permitted there.
15. Indemnity
You will indemnify and hold harmless TrustSwap Launchpad, its officers, directors, contractors, employees and agents against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your use of the Launchpad, your breach of these Terms, your violation of any law, or your infringement of any third party's rights.
16. Changes
We may change these Terms to reflect changes to the Launchpad, our practices, or applicable law. The current version is always available at trustswaplaunchpad.com with the date of last update shown. Changes take effect on publication. Continued use of the Launchpad after a change takes effect constitutes acceptance of the revised Terms.
We may also modify, suspend or discontinue the Launchpad, or any sale or feature, at any time.
17. Governing Law and Disputes
These Terms are governed by the laws of EL SALVADOR, without regard to conflict of law principles.
The courts of El Salvador have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
18. General
If any provision of these Terms is held unenforceable, the remainder continues in effect. Our failure to enforce any provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us in relation to the Launchpad, and supersede any prior understanding. Nothing in these Terms creates a partnership, joint venture, agency or fiduciary relationship between us. These Terms are in English; any translation is for convenience only.
